End User License Agreement

1. License Grant

Subject to your compliance with this EULA and your active, paid subscription, Digital Architex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the DARX client portal (at digitalarchitex.com/dashboard) to manage your website account, content, and subscription
• Use the DARX CMS editor to create, update, and publish content on your website
• Use AI-assisted features within the platform to generate design suggestions, copy drafts, and configuration options for your website
• Access analytics, billing management, and integration controls made available within your plan tier

This license is granted solely for your internal business purposes in connection with the website Digital Architex builds and maintains for you.

2. License Restrictions

You may not, and may not permit any third party to:

• Copy, reproduce, or distribute the Software or any component of the DARX platform, in whole or in part
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of the Software
• Modify or create derivative works based on the Software or any part of the DARX platform
• Resell, sublicense, rent, or lease access to the Software or the DARX platform to any third party without our prior written consent
• Remove or alter any copyright, trademark, or proprietary rights notices contained within the Software
• Circumvent, disable, or interfere with security features, rate limiting, authentication systems, or access controls within the Software
• Use the Software to build or train a competing product or to benchmark against competing products without our written consent
• Automate access to the portal or APIs beyond what is expressly permitted by your plan, including scraping, bulk exporting, or unauthorized API usage

3. Ownership and Intellectual Property

a. Our property

Digital Architex retains all right, title, and interest in and to the DARX platform and Software, including all intellectual property rights therein. This includes but is not limited to:

• The DARX framework, rendering engine, and site generation system
• The CMS architecture, content block system, and design token engine
• The DARX reasoning system and all AI tooling built into the platform
• The client portal, dashboard, and all related interfaces
• Infrastructure automation, deployment pipelines, and DevOps tooling
• All trade secrets, algorithms, and proprietary methodologies embedded in the Software
• The "Digital Architex" and "DARX" names, logos, and all associated trademarks

Nothing in this EULA or the Terms of Service transfers any of the foregoing rights to you. You receive only the limited license expressly stated in Section 1.

b. Your content and website

You retain ownership of the content you provide and the website we build for you, as described in the Terms of Service. The Software license does not affect your ownership of your content or website output.

c. Feedback

If you provide feedback, suggestions, or ideas about the Software or Services ("Feedback"), you grant Digital Architex a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into our products and services without any obligation to you.

4. AI Features and Generated Content

a. How AI features work

The DARX platform includes AI-powered features that may use third-party large language models (including models from Anthropic and Google) to assist with website content generation, design configuration, and intelligent automation. These features process the inputs you provide within the portal.

b. AI output ownership

AI-generated content produced in response to your inputs and for your project is assigned to you. Digital Architex does not claim ownership of AI output generated specifically for your use. You are responsible for reviewing and approving any AI-generated content before publishing it.

c. AI limitations and accuracy

AI-generated content may be inaccurate, incomplete, or unsuitable for your specific needs. We make no warranty regarding the accuracy or fitness of AI output. You should review all AI-generated content before publication and not rely on it as legal, financial, medical, or professional advice.

d. Input responsibility

You are responsible for the content and prompts you submit to AI features. Do not submit confidential third-party information, personal data of others without authorization, or content that violates applicable law or third-party rights.

5. Updates and Changes to the Software

We may update, modify, or enhance the Software at any time, including changes to features, interfaces, and AI models. Updates are generally provided automatically as part of your subscription. We may also deprecate or remove features with reasonable notice.

This EULA applies to all versions of the Software you access, including updated versions. Your continued use of the Software after an update constitutes acceptance of any associated changes.

6. Open Source Components

Certain components of the DARX platform are built using open-source software. Where required by applicable open-source licenses, attribution is provided. Open-source components are licensed under their respective licenses and this EULA does not modify or restrict those licenses. Your use of open-source components included in the Software is governed solely by the applicable open-source license.

7. Data and Privacy

Your use of the Software is subject to our Privacy Policy, which describes how we collect, process, and protect your data. By using the Software, you consent to the data practices described in the Privacy Policy.

8. Term and Termination

a. Term

This EULA is effective from the date you first access the Software and continues for as long as you hold an active subscription to the Services.

b. Termination

This license terminates automatically if you cancel your subscription, if we terminate your account under the Terms of Service, or if you breach any provision of this EULA. Upon termination:

• Your right to access and use the Software immediately ceases
• Any data or configurations stored within the platform may be deleted in accordance with our data retention policies
• Sections 3 (Ownership), 4 (AI Features), 9 (Disclaimer), 10 (Limitation of Liability), and 11 (Governing Law) survive termination

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. DIGITAL ARCHITEX DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITAL ARCHITEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DIGITAL ARCHITEX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Governing Law

This EULA is governed by the same law and dispute resolution provisions specified in our Terms of Service.

12. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Digital Architex regarding the Software and supersedes any prior agreements or representations. If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.
